1. Acceptance of Terms & Scope

By accessing, browsing, linking APIs, or using the website and evaluation tools operated by 10z Creators, a division of 10z ("10z Creators," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must immediately cease using the Site.

Important Distinction: These Terms govern your use of the website and the creator application/evaluation process only. If you are accepted into our network, your syndication, localization, revenue share, and IP licensing arrangements will be strictly governed by a separate, customized Master Services Agreement (MSA). Nothing on this Site constitutes a binding offer to syndicate your content.

2. Eligibility

Our services are intended for professional creators. By using this Site and applying to our network, you represent and warrant that you are at least eighteen (18) years of age and possess the legal capacity to enter into binding commercial contracts.

3. Intellectual Property Rights (The Site & Analytics)

All content on this Site—including but not limited to text, graphics, logos, proprietary evaluation algorithms, revenue projection models, software, UI/UX design, and AI-driven workflows—is the exclusive property of 10z Creators or its licensors and is protected by French and international intellectual property laws.

• Prohibited Conduct: You may not copy, scrape, reverse-engineer, use automated bots, or commercially exploit any part of this Site. You are strictly prohibited from using any data, text, or layout from this Site to train external artificial intelligence or machine learning models.

4. Unsolicited Submissions (The "Idea" Protection)

We are constantly developing new media strategies, software, and localized channel concepts. To avoid future legal disputes, 10z Creators maintains a strict policy regarding unsolicited ideas. If you submit comments, pitches, software features, or channel concepts to us ("Submissions"), you grant 10z Creators a perpetual, irrevocable, worldwide, royalty-free right to use and execute those ideas without compensation to you.

• Creator Content Carve-Out: This clause does not apply to your actual, existing copyrighted video content that you submit for our evaluation. You retain all ownership of your existing media assets until a formal MSA is signed.

5. Third-Party API Integrations & Disconnection

10z Creators provides tools that allow you to connect third-party platforms to our Site so we can analyze your catalog and evaluate your syndication potential.

• Google/YouTube API Services: Our Site uses YouTube API Services. By utilizing our integration to evaluate your channel, you agree to be bound by the YouTube Terms of Service.
• Revoking Access: 10z Creators does not manage your third-party account security. You may revoke our Site's access to your Google/YouTube data at any time via the Google Security Settings page: https://myaccount.google.com/permissions.

6. Confidentiality of the Evaluation Process

During the application process, 10z Creators may display proprietary revenue projections, localized syndication strategies, or channel audits to you. You agree that these insights are the confidential intellectual property of 10z Creators. You may not screenshot, publish, or share our proprietary analytics or projections on social media or with competitors.

7. Disclaimer of Warranties

The Site and its contents are provided on an "AS IS" and "AS AVAILABLE" basis. 10z Creators makes no representations or warranties regarding the guarantee of your acceptance into the 10z Creators network, nor do we guarantee that any revenue projections displayed on the Site will be achieved.

8. Limitation of Liability

To the fullest extent permitted by applicable French law, 10z Creators and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, resulting from your use of the Site or the evaluation tools. In no event shall the aggregate liability of 10z Creators exceed one hundred Euros (€100). This limitation applies except in cases of gross negligence or willful misconduct.

9. Governing Law and Exclusive Jurisdiction

These Terms will be governed by the laws of France, without regard to its conflict of laws provisions. Any dispute, controversy, or claim arising out of or relating strictly to your use of this website (prior to the execution of an MSA) shall be subject to the exclusive jurisdiction of the Commercial Courts (Tribunal de Commerce) of Paris, France.

10. Modifications

We reserve the right to modify these Terms at any time. Your continued use of the Site following any changes constitutes your acceptance of the revised Terms.
